Memorandum of Understanding and AMATA CORPORATION PCL

1.The Parties share an intention to develop education facilities of international standards at the undergraduate and graduate levels (the “Project”) on the land currently owned by Amata Nakorn Industrial Estate in Chonburi Province in the Kingdom of Thailand (the “Location” ”) 2. The Parties wish to materialize the Project through thoroughdiscussions between themselves to have a feasibility study of the Project, (the “Feasibility Study”) undertaken and, on the basis of Feasibility Study results being encouraging, to implement the Project by executing a joint venture agreement (the “Joint Venture Agreement”) relevant thereto. 3.The Parties are aware that that disclosure of certain confidential information related to the Project and to the business of each Party may become unavoidable in the implementation of the Project before and after execution of the Joint Venture Agreement 4.KMITL and AMATA shall jointly cause to be conducted the Feasibility Study which will cover, without limitation, a market research to gauge the potentials of developing the Project in the Location. , and the relevant legal and tax perspectives involved.
